Subscription & Software Terms

Xpanion is made and licensed by Valinorsk LLC, a Wyoming limited liability company, 30 N Gould St, Ste N, Sheridan, WY 82801, United States (hello@xpanion.com). These terms govern your plan and your use of the Xpanion application.

Payments are processed by Stripe acting as merchant of record. Stripe is the seller for the payment transaction and handles billing, tax and refunds under its own terms. The license to use Xpanion is granted by Valinorsk under these terms. If we change payment provider, the equivalent role passes to the new provider and we will say so here.

Xpanion records, transcribes and structures meetings entirely on your own Mac, and turns them into a project with a board, a plan and a time ledger. It runs on macOS 14.4 or later on Apple silicon and needs at least 16 GB of memory.

While your plan is active, Valinorsk grants you a personal, non-exclusive, non-transferable license to install and use Xpanion on the Macs covered by your plan, for your own work or your organization's. A plan covers a number of people and a number of active projects (section 5); each person uses Xpanion on one Mac at a time.

You may not sublicense, resell or share your license key; reverse engineer, decompile or modify the application except where the law expressly permits it; or circumvent the license check or the limits on people and active projects of your plan.

These are commitments, not descriptions:

• Audio is held in memory and discarded once processed. No recording file is written to disk.
• Your recordings, transcripts, minutes and project data do not leave your Mac. Valinorsk has no copy and no access.
• Nothing you produce is used to train any model.
• Voice embeddings used to separate speakers are transient and are not retained as a voiceprint.

Our services receive data from Xpanion for the license check (section 9) and for the update check and the update download (section 10). Neither carries your recordings, transcripts, minutes or project data. Beyond that, we receive what you send us yourself. How we handle all of it is described in the Privacy Policy.

Every plan includes every function of Xpanion. Plans differ in two numbers only: how many people can use Xpanion under the plan, and how many projects the organization can have active at the same time.

A price is for the plan, not per person.

Free, Solo and Team are started on our website. Studio, Business and Unlimited are arranged with us directly; the terms of such an arrangement, where they differ from these, are set out in writing with you.

The limit on active projects applies to your organization as a whole: the active projects of everyone using Xpanion under the plan are counted together. A project you have archived and removed from Xpanion no longer counts.

Each person works in their own projects on their own Mac. A plan with several people shares the limits, not the project data.

Prices shown to consumers in the European Union include value added tax. Prices shown to business customers are exclusive of tax. The price you pay is the one displayed at checkout in your currency.

Xpanion Free is a plan without charge for one person and one active project. You start it with an email address; no payment method is asked for. We send a link to that address, and the license key behind it activates Xpanion on your Mac.

One Mac can hold one Free plan. While a Free plan is bound to a Mac, and for 30 days after it has moved to another one, that Mac cannot be used to start another.

There is no trial period on paid plans. A paid plan is charged from the day it starts.

A Free plan does not renew and has nothing to cancel. We may end the Free offer for new users at any time. If we end it for existing users, we will tell you at least 30 days in advance at the address you gave, and section 11 then applies to what you have recorded.

If you buy a paid plan with the email address of your activated Free plan, the plan changes in place: you keep your license key and your projects and do not activate again. A purchase with a different address starts a separate plan with its own key.

Solo, Team, Studio and Business renew monthly or yearly, whichever you chose. Unlimited renews yearly. Free does not renew.

You may cancel at any time. Canceling stops the next renewal; your plan then runs to the end of the period you have already paid for. Payments already made are not refunded on a pro-rata basis, and there is no money-back guarantee. This does not affect your statutory rights, including the right of withdrawal in section 8.

If we change prices, the new price applies from your next renewal and we will tell you before it takes effect.

Canceling is possible directly on our website through the cancellation button, without signing in, and we will confirm your cancellation to you on a durable medium.

Canceling is possible without signing in. Write to hello@xpanion.com, and we will confirm your cancellation to you on a durable medium.

A message that says no more than "Cancel your subscription" is enough.

If you are a consumer resident in the European Economic Area, you have a statutory right to withdraw from this contract within fourteen days without giving a reason. The full information, and the model withdrawal form, are in our Withdrawal Policy, which forms part of these terms and which we also send you when your subscription begins.

Xpanion checks your license over the internet when you activate it, re-check it or change your plan, when you return to Xpanion shortly after opening the payment page, and periodically after that. The license check sends your license key, an identifier derived from your machine, and the version of Xpanion you are running; our license service also sees your IP address. It carries nothing about your meetings, your recordings or your project data.

Xpanion also asks our license service before it adds a project, and from time to time for the projects you already have, so that the limit on active projects holds across everyone under your plan. For each project the app sends a random identifier it made up for this purpose, and a counter. It does not send the project's name or anything in it, and we cannot tell from the identifier which project it stands for.

Creating a new project needs an internet connection. Without one, Xpanion tells you so and keeps what you typed. Recording, processing and working in the projects you already have keep working offline for a grace period carried in a signed license token. A Mac that is permanently offline cannot run Xpanion indefinitely. You may move your license to a different Mac; the number of reassignments within a period may be limited.

While your plan is active, we provide the updates needed to keep Xpanion in conformity with these terms, including security updates, and we will inform you about them. Updates are downloaded and installed through the application. The update check and the update download go to our update storage at Vercel and carry no license key, no machine identifier and no account data; Vercel sees your IP address.

If you do not install an update we have made available and informed you about, we are not responsible for a lack of conformity that the update would have avoided — provided the failure to install was not due to defective installation instructions from us.

If a paid plan lapses, or you cancel and the paid period expires:

• Everything you have already recorded stays on your Mac and stays yours. It remains readable, searchable and exportable, including your archive and your time ledger.
• You cannot record, process, edit or import anything new until you start a plan again.

We will not remove, lock or delete data you have already produced.

A paid plan that ends does not turn into Free.

If the owner of a plan removes a person from it, that person's license ends at once. Xpanion on their Mac stops opening their projects the next time it checks the license; a Mac that stays offline may keep opening them until then. Export what you need before you are removed.

Laws on recording conversations differ by country and by state, and some require the consent of everyone present. You are responsible for having the right to record. Xpanion can document that a disclosure was made; it does not and cannot certify that a recording is lawful where you are.

Timekeeper keeps an append-only, hash-chained ledger of logged time, and any export can be checked against it. This makes tampering detectable. Tamper-evident is not the same as court-proof: what a tribunal, a client or an auditor accepts as evidence is their decision, not ours.

Xpanion runs locally. It needs the internet for the license check in section 9 — including when you add a project — when you start Xpanion Free or invite or remove a person from inside the app, and, before your first recording, for the model download described in section 4.4 of the Privacy Policy. Support is by email to hello@xpanion.com. We do not commit to a response time, and we do not offer a service level for Free, Solo and Team. Service levels for Studio, Business and Unlimited, where agreed, are set out in the separate agreement with you.

15.1 No warranty (outside section 15.4). Xpanion is provided "as is" and "as available", without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that transcripts, minutes, action items, plans or time records are complete or accurate. Xpanion structures what it hears; it does not verify it. You remain responsible for checking anything you rely on.

15.2 Excluded damages. To the fullest extent permitted by law, Valinorsk is not liable for indirect, incidental, special or consequential damages, or for lost profits, lost business, or lost or corrupted data.

15.3 Cap. Valinorsk's total liability arising out of or relating to Xpanion is limited to the amount you paid in the twelve months before the event giving rise to the claim.

15.4 Consumers in the EEA and the UK. Sections 15.1 to 15.3 do not apply to you to the extent that they would limit rights you have by law. In particular:

• Your statutory rights in respect of a lack of conformity of a digital product, including our obligation to supply updates under section 10, are unaffected.
• Nothing limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for intent or gross negligence, or for the breach of an obligation the fulfillment of which is essential to the proper performance of this contract and on which you may reasonably rely. For a negligent breach of such an obligation, our liability is limited to the damage typically foreseeable at the time the contract was concluded.

Xpanion, its name, and everything in the application belong to Valinorsk LLC. Everything you create with Xpanion belongs to you. We claim no rights in your recordings, transcripts, minutes or project data.

Third-party components are listed with their licenses in LICENSE-3RD-PARTY.txt, which ships with the application.

We may suspend or end your license if you materially breach these terms — in particular sections 3 and 12 — or if a payment is reversed. Where we reasonably can, we will warn you first. Section 11 applies: what you have already produced remains yours, readable and exportable.

We may change these terms. If a change materially affects your rights, we will tell you before your next renewal, and continuing to use Xpanion after that means you accept the change. If you do not, you may cancel under section 7 and, where the change is to your disadvantage, terminate with effect from the date the change takes effect.

We are not obliged, and are not willing, to participate in dispute resolution proceedings before a consumer arbitration board.

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules, and the courts of Wyoming have jurisdiction.

If you are a consumer, this does not deprive you of the protection of the mandatory provisions of the law of the country in which you live, and you may bring proceedings in the courts of that country.
