Subscription & Software Terms

Xpanion is made and licensed by Valinorsk LLC, a Wyoming limited liability company, 30 N Gould St, Ste N, Sheridan, WY 82801, United States (hello@xpanion.com). These terms govern your subscription to, and your use of, the Xpanion application.

Payments are processed by Stripe acting as merchant of record. Stripe is the seller for the payment transaction and handles billing, tax and refunds under its own terms. The licence to use Xpanion is granted by Valinorsk under these terms. If we change payment provider, the equivalent role passes to the new provider and we will say so here.

Xpanion records, transcribes and structures meetings entirely on your own Mac, and turns them into a project with a board, a plan and a time ledger. It runs on macOS 14.4 or later on Apple silicon and needs at least 16 GB of memory.

While your subscription is active, Valinorsk grants you a personal, non-exclusive, non-transferable licence to install and use Xpanion on the Macs covered by your plan, for your own work or your organisation's.

You may not sublicense, resell or share your licence key; reverse engineer, decompile or modify the application except where the law expressly permits it; or circumvent the licence check or the seat and project limits of your plan.

These are commitments, not descriptions:

• Audio is held in memory and discarded once processed. No recording file is written to disk.
• Your recordings, transcripts, protocols and project data do not leave your Mac. Valinorsk has no copy and no access.
• Nothing you produce is used to train any model.
• Voice embeddings used to separate speakers are transient and are not retained as a voiceprint.

The only data that reaches Valinorsk is what the licence check needs (section 9) and what you send us yourself. How we handle that is described in the Privacy Policy.

Prices shown to consumers in the European Union include value added tax. Prices shown to business customers are exclusive of tax. The price you pay is the one displayed at checkout in your currency.

Every plan starts with 14 days free. A payment method is required to start the trial. If you cancel before the trial ends, you are not charged. If you do not cancel, the subscription begins automatically at the price shown at sign-up.

Upgrading during a trial does not end the trial.

Base and Pro renew monthly or yearly, whichever you chose. Corporate renews annually.

You may cancel at any time. Cancelling stops the next renewal; your plan then runs to the end of the period you have already paid for. Payments already made are not refunded on a pro-rata basis, and there is no money-back guarantee. This does not affect your statutory rights, including the right of withdrawal in section 8.

If we change prices, the new price applies from your next renewal and we will tell you before it takes effect.

Cancelling is possible without signing in. Write to hello@xpanion.com, and we will confirm your cancellation to you on a durable medium.

A message that says no more than "Cancel your subscription" is enough.

If you are a consumer resident in the European Economic Area, you have a statutory right to withdraw from this contract within fourteen days without giving a reason. The full information, and the model withdrawal form, are in our Withdrawal Policy, which forms part of these terms and which we also send you when your subscription begins.

Xpanion checks the validity of your licence periodically over the internet. The check transmits your licence key and an identifier derived from your machine. It transmits nothing about your meetings, your recordings or your project data.

The application keeps working offline for a grace period carried in a signed licence token. A Mac that is permanently offline cannot run Xpanion indefinitely. You may move your licence to a different Mac; the number of reassignments within a period may be limited.

While your subscription is active, we provide the updates needed to keep Xpanion in conformity with these terms, including security updates, and we will inform you about them. Updates are downloaded and installed through the application.

If you do not install an update we have made available and informed you about, we are not responsible for a lack of conformity that the update would have avoided — provided the failure to install was not due to defective installation instructions from us.

If your subscription lapses, or you cancel and the paid period expires:

• Everything you have already recorded stays on your Mac and stays yours. It remains readable, searchable and exportable, including your archive and your time ledger.
• You cannot record, process, edit or import anything new until you subscribe again.

We will not remove, lock or delete data you have already produced.

Laws on recording conversations differ by country and by state, and some require the consent of everyone present. You are responsible for having the right to record. Xpanion can document that a disclosure was made; it does not and cannot certify that a recording is lawful where you are.

Timekeeper keeps an append-only, hash-chained ledger of logged time, and any export can be checked against it. This makes tampering detectable. Tamper-evident is not the same as court-proof: what a tribunal, a client or an auditor accepts as evidence is their decision, not ours.

Xpanion runs locally, so it does not depend on our servers to work — except for the licence check in section 9. Support is by email to hello@xpanion.com. We do not commit to a response time, and we do not offer a service level for Base and Pro. Service levels for Corporate, where agreed, are set out in the separate Corporate agreement.

15.1 No warranty (outside section 15.4).Xpanion is provided "as is" and "as available", without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that transcripts, protocols, action items, plans or time records are complete or accurate. Xpanion structures what it hears; it does not verify it. You remain responsible for checking anything you rely on.

15.2 Excluded damages. To the fullest extent permitted by law, Valinorsk is not liable for indirect, incidental, special or consequential damages, or for lost profits, lost business, or lost or corrupted data.

15.3 Cap.Valinorsk's total liability arising out of or relating to Xpanion is limited to the amount you paid in the twelve months before the event giving rise to the claim.

15.4 Consumers in the EEA and the UK. Sections 15.1 to 15.3 do not apply to you to the extent that they would limit rights you have by law. In particular:

• Your statutory rights in respect of a lack of conformity of a digital product, including our obligation to supply updates under section 10, are unaffected.
• Nothing limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for intent or gross negligence, or for the breach of an obligation the fulfilment of which is essential to the proper performance of this contract and on which you may reasonably rely. For a negligent breach of such an obligation, our liability is limited to the damage typically foreseeable at the time the contract was concluded.

Xpanion, its name, and everything in the application belong to Valinorsk LLC. Everything you create with Xpanion belongs to you. We claim no rights in your recordings, transcripts, protocols or project data.

Third-party components are listed with their licences in LICENSE-3RD-PARTY.txt, which ships with the application.

We may suspend or end your licence if you materially breach these terms — in particular sections 3 and 12 — or if a payment is reversed. Where we reasonably can, we will warn you first. Section 11 applies: what you have already produced remains yours, readable and exportable.

We may change these terms. If a change materially affects your rights, we will tell you before your next renewal, and continuing to use Xpanion after that means you accept the change. If you do not, you may cancel under section 7 and, where the change is to your disadvantage, terminate with effect from the date the change takes effect.

We are not obliged, and are not willing, to participate in dispute resolution proceedings before a consumer arbitration board.

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules, and the courts of Wyoming have jurisdiction.

If you are a consumer, this does not deprive you of the protection of the mandatory provisions of the law of the country in which you live, and you may bring proceedings in the courts of that country.
